These Terms of Service (the “Terms”) govern your access to and use of the website located at https://www.clearassetsolutions.com (the “Site”) and the financing-related services offered by Clear Asset Solutions LLC, together with its affiliated entities (collectively, “Clear Asset Solutions,” the “Company,” “we,” “us,” or “our”). By accessing the Site, submitting an inquiry, or using our services, you (the “Client” or “you”) agree to be bound by these Terms.

1. DEFINITIONS

1.1 Affiliate: Any entity that controls, is controlled by, or is under common control with Clear Asset Solutions or the Client.

1.2 Confidential Information: Non-public information disclosed by one party to the other, including trade secrets, methodologies, financial data, business plans, and proprietary materials.

1.3 Intellectual Property (IP): All techniques, methodologies, processes, tools, software, logos, trademarks, materials, and other proprietary content owned or licensed by Clear Asset Solutions, including any modifications or derivative works.

1.4 Services: The asset-based financing, loan origination and brokerage, application intake, consultation, and related services and deliverables provided by Clear Asset Solutions, including financing for marine assets and real-estate projects (such as boat purchase/refinance, fix-and-flip, ground-up construction, and DSCR loans).

1.5 Client Obligations: Actions and responsibilities the Client agrees to fulfill under these Terms.

1.6 Applicable Laws: All federal, state, and local laws, rules, and regulations applicable to these Terms, including U.S. federal laws, consumer-protection and lending laws, and telemarketing and text-messaging regulations (including the TCPA and CAN-SPAM Act).

1.7 Personal Information: Any data provided by the Client that is protected under applicable privacy laws, including personally identifiable information (PII).

2. SCOPE OF SERVICES

2.1 Description of Services: Clear Asset Solutions provides financing and loan origination/brokerage services, including intake and review of financing inquiries and applications, consultation on financing options for marine and real-estate assets, and coordination of loan offers. We may originate financing directly and/or connect Clients with third-party lenders, investors, or capital providers.

2.2 No Guarantee of Approval or Terms: Clear Asset Solutions does not guarantee loan approval, funding, any specific loan amount, interest rate, timeline, or terms. All financing is subject to underwriting, verification, applicable law, and the requirements of the applicable lender or capital provider. Any rates, amounts, or ranges referenced in marketing or on the Site are illustrative only, are not offers or commitments, and are subject to change.

2.3 Client Responsibility for Information: The Client is responsible for the accuracy and completeness of all information and documentation provided. Providing false, misleading, or incomplete information may result in denial of financing and/or termination of the relationship.

2.4 Third-Party Involvement: We may collaborate with third-party lenders, service providers, telecommunications carriers, or software platforms to deliver certain aspects of the Services. The Client acknowledges that Clear Asset Solutions is not responsible for the actions, approvals, underwriting decisions, or omissions of such third parties.

2.5 Not Legal, Financial, or Tax Advice: All information provided by Clear Asset Solutions is for general and operational purposes only and does not constitute legal, financial, investment, or tax advice. Clients should consult their own advisors.

2.6 Right to Modify Services: Clear Asset Solutions reserves the right to update, modify, or discontinue any aspect of the Services or Site without prior notice, provided such changes do not materially diminish the Client’s rights under any separate signed agreement.

3. ELIGIBILITY AND ACCEPTABLE USE

3.1 Eligibility: You must be at least 18 years old and able to form a binding contract to use the Site or request Services.

3.2 Acceptable Use: You agree not to misuse the Site, submit fraudulent information, interfere with the Site’s operation, attempt unauthorized access, or use the Site or Services in violation of any Applicable Laws.

4. FEES

Any fees for Services will be disclosed in a separate agreement, quote, or checkout page before they are incurred. Where applicable, the Client agrees to reimburse Clear Asset Solutions for reasonable costs of collecting overdue amounts, including attorney fees and court costs, to the extent permitted by law.

5. INTELLECTUAL PROPERTY

5.1 Ownership: All materials, guides, tools, templates, systems, strategies, software, and other content provided by Clear Asset Solutions or displayed on the Site are proprietary and remain the exclusive property of Clear Asset Solutions or its licensors.

5.2 Restrictions: The Client agrees not to share, reproduce, distribute, license, reverse engineer, sell, or republish any materials provided by Clear Asset Solutions without prior written consent.

6. RIGHT TO UPDATE TERMS

Clear Asset Solutions reserves the right to update these Terms at any time. Clients will be notified of significant changes where required by law. Continued use of the Site or Services constitutes acceptance of the updated Terms.

7. DISCLAIMERS AND LIMITATION OF LIABILITY

7.1 “As Is”: The Site and Services are provided “as is” and “as available” without warranties of any kind, express or implied, to the fullest extent permitted by law.

7.2 Limitation of Liability: To the maximum extent permitted by law, Clear Asset Solutions shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits or revenue, arising out of or relating to the Site or Services.

8. DISPUTE RESOLUTION

8.1 Governing Law: These Terms shall be governed by and interpreted in accordance with the laws of the State of New Jersey, United States (confirm state of formation).

8.2 Dispute Resolution: Any dispute arising under these Terms shall first be addressed through good-faith mediation. If mediation fails, the dispute shall be resolved through binding arbitration in the State of New Jersey, except that either party may seek injunctive relief for intellectual-property or confidentiality matters.

9. TERMINATION

Clear Asset Solutions reserves the right to suspend or terminate your access to the Site or Services in cases of non-payment, violation of these Terms, fraudulent activity, or abusive behavior toward staff. Upon termination, any outstanding fees or obligations remain due and enforceable, and Sections 5, 7, 8, and 10 survive.

10. SMS / TEXT MESSAGING TERMS

By providing your mobile phone number and opting in through our website form, you consent to receive service-related (transactional) text messages only from Clear Asset Solutions LLC. We use SMS solely for customer care and do not send marketing or promotional text messages under this program.

A. Program Description

You agree to receive text messages from Clear Asset Solutions related to your inquiry, appointment and consultation scheduling and reminders, application and account updates, and customer support regarding your financing request. No promotional, marketing, or offer-based content is sent via SMS. Messages do not include interest-rate or dollar-amount claims.

B. How You Opt In

Opt-in occurs when you check the optional, non-pre-checked SMS consent box on our website forms at https://www.clearassetsolutions.com/apply or https://www.clearassetsolutions.com/contact-us. The form can be submitted without opting in, and consent is not a condition of any purchase or of receiving financing.

C. Message Frequency

Message frequency varies based on your activity, typically 2–5 messages per month.

D. Cost

Message and data rates may apply. Please consult your mobile carrier for pricing details. Clear Asset Solutions is not responsible for charges incurred as a result of receiving SMS messages.

E. How to Opt Out (STOP)

You may opt out at any time by replying STOP to any message. You will receive a one-time opt-out confirmation message, after which you will no longer receive SMS messages unless you re-opt in.

G. Consent, Privacy, and Carrier Disclaimer

By opting in, you certify that the mobile number provided is your own and that you are authorized to opt in. 11. MISCELLANEOUS

11.1 Amendments: These Terms may be modified by Clear Asset Solutions as described in Section 6, or, for any separate signed service agreement, only in a writing signed by both parties.

11.2 Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect.

11.3 Entire Agreement: These Terms, together with our Privacy Policy and any separate signed agreement, constitute the entire understanding between the parties and supersede all prior agreements or discussions on the subject matter.
